This Agreement is between ClearCaptions LLC, (referred to herein with its affiliates and licensors as "ClearCaptions" or the "Company") and you, the user of the Service, as defined below (you are referred to herein as either "you" or as the "User"). By activating or using the Service or any part thereof in any way, you agree to be bound by all of the terms and conditions of this Agreement, including, without limitation, the terms and conditions of the caption end user software agreement and the terms related to 911 emergency services.
The Service. The Company provides Internet Protocol Captioned Telephone Service (Captions) called ClearCaptions™ (which is referred to herein as the Service). The basic specifications and functionality of the Service are described on the Company's websites. The Service is partially provided with the participation of a trained communications assistant (CA) to assist with the relay of conversations with captioning on a near real-time basis for the benefit of the User in an otherwise standard voice telephone environment.
IMPORTANT: To use the ClearCaptions Service you also certify that: (i) you have a hearing loss that necessitates the use of captioned telephone service (“Qualified Person”); (ii) you understand that captioning is provided by a live CA who listens to the other party on the line and provides the text displayed on your phone; (iii) you understand that the cost of captioning is funded through a federal program; and (iv) to the best your ability, you will not permit persons who have not registered for a ClearCaptions account to make captioned telephone calls on your registered caption telephone service or device. ClearCaptions is provided for U.S. residents only.
ACCEPTABLE USE and RESTRICTIONS. Your use of the Service is limited to your individual use in order to assist you in communicating via the telephone due to your hearing loss and is subject to the restrictions in this Agreement; the Service is not intended for commercial purposes, such as use as a transcript, or for any unlawful purposes, including without limitation, use for illicitly or secretly recording or documenting a telephone conversation.
You further agree not to use the Services in any manner to harass, abuse, record for unlawful purposes, defame or otherwise infringe or violate the rights of any other party, and that the Company is not in any way responsible for any such use by you, nor for any harassing, threatening, defamatory, commercial, offensive or illegal purposes as a result of your use of the Services. If you breach this restriction, you may be subject to prosecution and damages. You may not rent, lease, lend, sell, redistribute or sublicense your right to use this Service.
You represent and certify that: (a) you are eligible under the FCC's rules to use the Service as a Qualified Person, the definition of which is provided above, (b) you will use the Service only for communications permitted by FCC rules; (c) you will not permit, to the best of your ability, persons who have not registered to use ClearCaptions captioned telephone service to make captioned telephone calls on your registered caption telephone service or device; and (d) you will observe all statutory and regulatory requirements governing the use of the Service. The Company is providing the Services to you based upon your status as a hearing-impaired person. Applicable FCC Regulations include, without limitation, those found at 47 C.F.R. 64.601 - 64.613 and at www.fcc.gov. You recognize that applicable FCC rules and regulations may change from time-to-time and you agree that the Company, in its sole discretion, may without notice or liability modify this Agreement by posting any required changes to its website(s). Your sole remedy in case of such modification shall be to terminate your use of the Service. If you use the Service while not qualifying as a hearing-impaired person, you agree to pay any expenses, fees and/or penalties associated with your unauthorized use, including applicable monthly subscription fees.
You may not copy (except as expressly permitted by this license), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Service materials, software or other materials, and any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law). There are no implied rights granted to you and any right not specifically granted herein is hereby reserved by and for the sole benefit of the Company. You agree that the Services contain proprietary content, information and material that is protected by applicable intellectual property and other laws, including but not limited to copyright, and that you will not use such proprietary content, information or materials in any way whatsoever except for permitted use of the Services.
You acknowledge that state law in many jurisdictions requires consent from all parties to a communication before the communication may be recorded lawfully. You acknowledge further that these laws may apply if any party to a communication is located in such a state, even if you are not. You agree that you bear the responsibility for using the feature to save captioned conversations on your phone or service in compliance with all applicable laws, including state consent laws. You agree that the Limitation of Liability set forth below applies with respect to your use of the feature to save captioned conversations.
The terms of this Agreement will govern any updates that replace and/or supplement the Service, unless such upgrade is accompanied by an agreement in which case the terms of that agreement will govern.
The Company also has the right to discontinue or suspend, without advance notice, your use of the Service if it becomes aware that you have breached this Agreement, and the Company reserves the right to investigate and actively pursue or stop any attempt to disrupt the Services to its customers, including asserting civil claims, cooperating with law enforcement and/or criminal prosecution as it deems necessary.
Registration Information. You agree that all information contained on your application or registration materials for the Services is true and correct. The Company reserves the right to terminate this Agreement and your access to the Service at any time, if it should determine that any such information was or is untrue. During the registration process for the Services, you are self-certifying as to your status as a Qualified Person.
SERVICE WARRANTIES: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND AS AVAILABLE, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. THE COMPANY, ITS LICENSORS AND AFFILIATES DO NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE SERVICES, THAT THE FUNCTIONS CONTAINED IN, OR COMMUNICATIONS PERFORMED OR PROVIDED BY, THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE COMPANY OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.
Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS LICENSORS AND AFFILIATES BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall the Company's, or its licensors or affiliates, total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
You, or your employer, are responsible for obtaining your own telephone and/or Internet access needed for access to and use of the Service, and all charges related thereto. Any telephone or other communications charges incurred by you to use the Service are your responsibility. Also, your telecommunications carrier, such as a wireless carrier, may charge service fees for alerts, text messaging (including receiving/sending instant messages and email), web browsing and other services that require the use of airtime and wireless data services. Check with your carrier to verify any fees that may apply to you.
Our Services require individuals, including our representatives and agents, to listen to and transcribe the incoming audio portion (one side) of your telephone conversations. In order to do this, the assisted user's incoming audio portion of your telephone call audio will be transmitted to us, or our third-party contractors, for transcription and captioning. By using the Services, you agree to the transmission of the incoming audio portion of your telephone call audio to us or our agents and waive any rights you may have under applicable law restricting the same. To the extent permitted by law, you waive all privacy laws governing telephone communications and monitoring of the same.
We provide telecommunications relay services under the regulatory rules of the FCC. These services are regulated by the FCC to ensure that the privacy of your telecommunications is strictly enforced. We take the privacy of your telecommunications very seriously.
LIMITATIONS OF CAPTION-BASED EMERGENCY 911 CALLS
The Company strongly advises you to dial 911 directly using a landline phone (like Ensemble) or TTY. Dialing 911 from the standard telephone network remains the most reliable and fastest method of reaching emergency response personnel.
The Internet does not function in the same way as the standard telephone network. With the standard telephone network, 911 centers have the ability to identify the location of a specific incoming phone number, whereas calls made using the Internet cannot identify specific locations to the PSAP.
Limitation on Liability for 911 calls. If you use the Services in connection with a 911 call the Company is not liable for any claim, damage or loss arising from your use of the Services to facilitate that call, including any liability in tort, contract, or otherwise for any property damage, personal injury or death arising out of or related to use of the Services in connection with a 911 call relating to such an emergency call, including but not limited to an act or omission involving (1) the development, design, installation, operation, maintenance, performance or provision of the Services provided in connection with a 911 call or the provision of emergency services; (2) interruptions, delays, transmission errors, network outages, failures, defects, technical difficulties, acts of God, human error, misinterpretation, mistakes or other occurrences, regardless of the source of the occurrence, that might arise during the handling or transmission of a 911 emergency call; and (3) release to an emergency response center or emergency center personnel, emergency medical service provider or emergency dispatch provider, public safety, fire service or law enforcement official, or hospital emergency or trauma care facility public safety answering point, designated statewide default answering point, of any user information related to 911 calls or to the delivery of emergency services.
Consent to Use of Data. You agree that the Company may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to assess and improve the Service, facilitate the provision of Service updates, product support and other services to you (if any) related to the Service. The Company may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.
Export and Government Users. You may not use or otherwise export or re-export the software or other materials relating to the Service except as authorized by U.S. law and the laws of the jurisdiction in which the Service was obtained. In particular, but without limitation, the software or other materials relating to the Service may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Services, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of nuclear or chemical or biological weapons.
The Service and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. 12.212 or 48 C.F.R. 227.7202, as applicable. Consistent with 48 C.F.R. 12.212 or 48 C.F.R. 227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. Unpublished-rights reserved under the copyright laws of the United States.
Governing Law. The laws of the State of California, excluding its conflicts of law rules, govern this license and your use of the Licensed Application. Your use of the Licensed Application may also be subject to other local, state, national or international laws.
Support and Use. Neither the Company, nor any of its parent, subsidiary or affiliate companies, nor their respective licensors, dealers, resellers or suppliers (collectively called the Affiliates), are responsible for maintaining or providing support for the Services and they have no obligation to provide updates, fixes or new versions of the Services.
Term and Termination. This license automatically terminates if you violate or fail to comply with any of the terms and conditions of this Agreement or the terms and conditions related to the relay services being provided to you by the Company using the Service; copies of such terms and conditions are included on the Company website(s). You are responsible for reviewing, and complying with, the terms of the Company Services. You agree that, upon termination, you will either destroy (or permanently erase) all copies of the Service materials, including software and related materials.
- Collection of Information
Personally identifiable information (“Personal Information”) is information that can be used to identify or contact you. ClearCaptions generally collects Personal Information in two ways: (1) when you choose to use, register for, or purchase a service or product offered by ClearCaptions, or (2) when you choose to send an e-mail, fill out on-line forms, participate in surveys, or engage in other transactions or interactions with ClearCaptions. We also may collect non-personally identifiable information when you visit our ClearCaptions website(s), respond to e-mails or other informational communications, or register for or use the Web site, products or services of ClearCaptions.
In order to have access to certain ClearCaptions services, including without limitation caption relay services, you are required to complete an application or other registration form(s) and provide other information reasonably necessary for us to provide the products and/or services to you. Some examples of the type of information we collect in registration form(s) and when you use our products or services are: your name, your address(es) (i.e., physical location from where you access ClearCaptions services), your email address(es), your phone number(s), your IP address(es) and your usage of our services (including quantity, technical configuration, type, destination, location, and amount of use). In addition, FCC regulations require we collect your date of birth and last four digits of your Social Security number at registration.
ClearCaptions may place Internet "cookies" on user's and visitors' hard drives. Internet cookies save data about individual users and visitors, such as the person's name, password, user-name, screen preferences, the pages of a site viewed by the visitor and the advertisements viewed or clicked by the user/visitor. When the user/visitor revisits ClearCaptions's website, ClearCaptions may recognize the user/visitor by the Internet cookie and customize the experience accordingly. Users/Visitors may decline Internet cookies, if any, by using the appropriate feature of their web client software, if available.
- Use of Personal Information Collected
We use the information we collect to provide you with our products and services and to respond to your questions. We also use the information for editorial and feedback purposes, for marketing and promotional purposes, to inform advertisers as to how many visitors have seen or clicked on their advertisements and to customize the content and layout of ClearCaptions's site. We also use the information we collect for statistical analysis of users' behavior, for product development, for content improvement, to ensure our products and services remain functioning and secure and to investigate and protect against any illegal activities or violations of our Terms of Service.
ClearCaptions may also use personal information in connection with federal or other legal requirements, such as responding to subpoena or court order, or providing information for purposes of emergency communications. Aggregate data on home servers may be used for internal purposes or provided to third parties such as advertisers. Individually identifying information, such as names, postal and email addresses, phone numbers and other personal information which visitors voluntarily provide to ClearCaptions may be (i) added to ClearCaptions' databases and used for future calls and mailings regarding site updates, new products and services, upcoming events, and status of orders placed online, or (ii) provided to reputable third parties who provide products and services which ClearCaptions believes that visitors may be interested in purchasing or obtaining, with prior notice to the visitor.
- Customer Proprietary Network Information (CPNI)
Customer Proprietary Network Information (CPNI) is information that ClearCaptions and other telecommunications relay service (TRS) providers obtain when providing customers with relay service. CPNI includes the types of relay a customer uses, the amount of relay calls made and the location of those calls.
ClearCaptions may use or disclose CPNI without further authorization from you under the following circumstances: to provide you with caption relay service and phones, to process 911 calls, for installation, maintenance and repair of our products and services, to offer you additional caption features and services of the type you already registered for with ClearCaptions, in response to legal requirements such as subpoena or court order, upon request from the FCC's Telecommunications Relay Service Fund, to prevent fraud, abuse, or misuse of the service(s) and to protect the rights and property of ClearCaptions.
ClearCaptions may also use or disclose CPNI to other authorized companies to offer you products and services that may be different from the types of services you already use. ClearCaptions asks for your consent to do this during your registration process. At any time you may choose to opt out of this use of your CPNI for marketing purposes. Consumers have the right to deny any telecommunications relay service (TRS) provider the right to use, disclose or permit access to customer CPNI for certain marketing purposes, and TRS providers have a duty under federal law to honor the customer's right and to protect the confidentiality of CPNI.
If you wish to restrict ClearCaptions's use of your CPNI for marketing purposes, you may do the following: 1. Log in at www.clearcaptions.com; 2.Go to the Email & Password section of your User Profile; and 3.Uncheck the CPNI Opt-in checkbox. Alternatively, you may contact ClearCaptions Customer Care at 866-868-8695.
Your approval or denial for use of CPNI for these marketing purposes will not affect ClearCaptions' provision of relay services to you; however, the lack of access to CPNI may prohibit ClearCaptions and its affiliates or authorized companies from offering you new and different services that may be of interest to you and tailored to your relay needs. Your approval or denial for use of CPNI outside of the service for which ClearCaptions and its affiliates are your default provider will stay in place until you change it.
- Security Measures
ClearCaptions has implemented various security features to prevent the unauthorized release of or access to Personal Information. In particular, when a person registers, fills out an online form, or places an order on this site (if any) or accesses his or her account information (if any), ClearCaptions offers the person the ability to use a secure server. The secure server encrypts all information a visitor inputs before it is sent to ClearCaptions, and is also used to securely store personal information. Please be advised, however, that while ClearCaptions has endeavored to create a secure and reliable site for visitors, the confidentiality of any communication or material transmitted to/from ClearCaptions via this site or e-mail cannot be guaranteed. Accordingly, ClearCaptions is not responsible for the security of information transmitted via the Internet.
- Disclosure of Personal Data to Third Parties
Any third party to which ClearCaptions shares, rents, sells, or otherwise discloses personal data will be under a contractual obligation to use the personal data for marketing products and services which ClearCaptions determines, in its sole judgment, that visitors might find of interest. ClearCaptions will use its reasonable efforts to identify such third parties who may have products or services of interest to visitors to ClearCaptions's site; however, such parties are independent third parties over which ClearCaptions exercises no control, and therefore ClearCaptions is not responsible for their conduct, products, or services, and will not be liable therefore. ClearCaptions will disclose to third parties only information in aggregate form, that is publicly available, and/or that is knowingly and voluntarily disclosed by visitors. If there are advertisements on ClearCaptions' website or equipment, through the use of third party cookies, the advertiser(s) will be electronically notified when visitors view or click on its advertisements.
- Opt-Out Right and Access to and Ability to Correct Personal Data
Visitors may opt out of having their personal information collected by ClearCaptions, used by ClearCaptions for secondary purposes, disclosed to third parties or used by ClearCaptions or third parties to send promotional correspondences to the visitor, by contacting ClearCaptions via postal mail, email or telephone at the addresses below, or by checking the appropriate “opt-out” box. Upon request via postal mail, email or phone, ClearCaptions will provide to visitors a summary of any personal information retained by ClearCaptions regarding the visitor. Visitors may modify, correct, change or update their personal record or cause their personal record to be removed from ClearCaptions's database. ClearCaptions will only send personal records to the email address on file for the visitor name associated with it.
- Collection of Personal Data from Children
To the extent ClearCaptions is able to determine the age of users by their submissions to or communications with ClearCaptions' website, ClearCaptions will not knowingly (i) collect or post information from individuals under the age of sixteen ("children") without their parent's or guardian's consent, or (ii) provide any personally identifying information collected from children, regardless of its source, to any third party for any purpose whatsoever. No information collected through ClearCaptions' website from users self-identified as children will knowingly be used for any marketing or promotional purposes whatsoever, either inside or outside ClearCaptions.
- ClearCaptions' Right to Contact User

ClearCaptions does not track consumer online activities over time and across third-party websites and therefore does not use "do not track" signals.
ClearCaptions does not authorize the collection of personally identifiable information by third parties about an individual consumer's online activities over time and across different websites when a consumer uses the ClearCaptions website or service.
